Banto Terms of Service

These Terms of Service ("Terms") govern access to and use of the Banto platform, websites, applications, software, APIs, and related services (collectively, the "Services") operated by Banto LLC ("Banto," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.


1. Definitions

"Provider" means any healthcare clinic, physician, medical practice, or authorized staff member using Banto to present treatment plans, collect payments, or communicate with patients.

"Patient" means any individual presented with treatment information, pricing, or payment options through Banto.

"Protected Health Information" or "PHI" has the meaning set forth in HIPAA.

"Payment Processor" means third-party entities (including but not limited to Stripe, Inc.) that process transactions on behalf of Providers.


2. Nature of Services

2.1 What Banto Does

Banto is a software platform that:

  • Displays treatment plans, pricing, and financing options created and approved by Providers
  • Facilitates payment collection, deposits, and installment plans
  • Enables appointment scheduling and patient communications
  • Integrates with Payment Processors and financing partners

2.2 What Banto Does Not Do

Banto does not:

  • Provide, supervise, or influence medical care, advice, diagnosis, or treatment
  • Verify the clinical accuracy, necessity, or appropriateness of any treatment plan
  • Set or validate Provider pricing
  • Determine insurance coverage or reimbursement eligibility
  • Act as a medical provider, billing agent, or collection agency

All medical decisions, treatment plans, and pricing are the sole responsibility of the Provider.


3. Provider Terms

3.1 Provider Responsibilities

By using Banto, Providers represent, warrant, and agree that:

  • Medical Authority: All treatment plans, diagnoses, and recommendations entered into Banto are made by licensed, qualified medical professionals in accordance with applicable standards of care.

  • Pricing and Billing Accuracy: All pricing, fees, and charges displayed through Banto are accurate, lawful, and authorized. Providers are solely responsible for compliance with truth-in-billing laws, informed consent requirements, and consumer protection regulations.

  • Patient Consents: Providers have obtained all legally required consents, including but not limited to:

    • Informed consent for treatment
    • Financial responsibility acknowledgments
    • HIPAA authorizations
    • Payment authorization
  • Regulatory Compliance: Providers comply with:

    • HIPAA and state privacy laws
    • FDA, DEA, and state medical board regulations
    • Fair Credit Reporting Act (FCRA) if reporting to credit bureaus
    • Truth in Lending Act (TILA) and Regulation Z if offering financing
    • State medical billing and disclosure requirements
    • Anti-kickback and Stark Law provisions
  • Licensure: Providers maintain all required licenses, certifications, and malpractice insurance.

3.2 Prohibited Provider Conduct

Providers may not:

  • Enter fraudulent, misleading, or medically inappropriate treatment plans
  • Charge fees not disclosed to or authorized by the patient
  • Use Banto to process payments for services outside their scope of practice
  • Misrepresent the nature, cost, or outcome of treatments
  • Violate any patient privacy rights

3.3 Provider Liability

Providers are solely liable for:

  • Medical malpractice, negligence, or professional misconduct
  • Billing errors, disputes, or chargebacks
  • Patient injury or dissatisfaction related to care
  • Regulatory violations or loss of licensure
  • Refund obligations to patients

Banto has no obligation to monitor, audit, or verify Provider conduct.


4. Patient Terms

4.1 Patient Acknowledgments

By using Banto, Patients acknowledge and agree that:

Provider Relationship: Banto is transmitting information on behalf of your healthcare provider. Your provider, not Banto, created your treatment plan and set your pricing.

No Medical Advice: Banto does not provide medical advice. All questions about your diagnosis, treatment options, or clinical outcomes must be directed to your provider.

Binding Financial Commitments: Payments, deposits, and financing agreements you make through Banto are legally binding obligations to your provider and their financing partners.

No Guarantee of Outcomes: Banto makes no representation regarding the success, safety, or appropriateness of any medical treatment.

4.2 Patient Responsibilities

Patients agree to:

  • Provide accurate personal, medical, and payment information
  • Honor all payment commitments made through the platform
  • Direct billing disputes or refund requests to the Provider, not Banto
  • Notify Banto immediately of unauthorized account access

4.3 Chargebacks and Disputes

If you initiate a chargeback or payment dispute:

  • Your access to the Services may be suspended
  • Your Provider may pursue collection or legal action
  • You remain liable for all amounts owed plus collection costs

Refunds are at the sole discretion of the Provider.


5. Payments and Financing

5.1 Payment Processing

All payments are processed by third-party Payment Processors. Banto does not hold, transmit, or store your full payment credentials.

By submitting payment information, you authorize:

  • The Provider to charge you for services rendered
  • The Payment Processor to process transactions on the Provider's behalf

5.2 Financing

If you apply for financing through Banto:

  • You are entering a separate agreement with the financing provider
  • Approval, terms, interest rates, and repayment obligations are determined solely by the financing provider
  • Banto is not a lender and does not extend credit
  • Banto has no control over approval, denial, or modification of financing terms

5.3 Fees and Charges

For Providers:

  • Monthly platform subscription fees (if applicable)
  • Per-transaction processing fees (typically 2.5%–3.5% + $0.30)
  • Failed payment or chargeback fees

For Patients:

  • Payment processing fees may apply depending on payment method
  • Financing may include interest, origination fees, or late fees set by the lender

All fees are non-refundable unless required by law.


6. Scheduling and Appointments

Appointment scheduling through Banto constitutes a binding commitment between Patient and Provider.

Banto is not responsible for:

  • Provider cancellations or no-shows
  • Rescheduling errors or conflicts
  • Availability or wait times
  • Changes to treatment scope or pricing after booking

Patients must contact Providers directly to modify or cancel appointments.


7. HIPAA and Data Privacy

7.1 Business Associate Relationship

For Providers subject to HIPAA, Banto acts as a Business Associate. A separate Business Associate Agreement (BAA) governs the handling of PHI.

7.2 Patient Data

Patients acknowledge that:

  • Their data is collected and processed on behalf of their Provider
  • The Provider, not Banto, is the Covered Entity and determines permissible uses of PHI
  • Banto uses industry-standard security measures but cannot guarantee absolute security
  • Data breaches must be reported to the Provider, who is responsible for patient notification

7.3 Data Sharing

Banto may share your information with:

  • Payment Processors (for transaction processing)
  • Financing partners (for credit applications)
  • Service providers assisting with platform operations
  • Law enforcement (if legally required)

We do not sell patient data to third parties.


8. Intellectual Property

8.1 Banto IP

All software, trademarks, logos, and proprietary elements of the Services are owned by Banto. You may not:

  • Reverse engineer, decompile, or extract source code
  • Use Banto trademarks without written consent
  • Scrape or harvest data from the platform

8.2 Provider-Submitted Content

Providers retain ownership of treatment plans and patient data entered into Banto. By using the Services, Providers grant Banto a limited license to:

  • Display, process, and transmit content as necessary to operate the platform
  • Create anonymized, aggregated analytics for internal business purposes

9. Disclaimers and Limitations of Liability

9.1 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE".

BANTO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF DATA
  • UNINTERRUPTED OR ERROR-FREE OPERATION

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BANTO SHALL NOT BE LIABLE FOR:

  • Medical malpractice or provider negligence
  • Patient injury, death, or adverse outcomes
  • Provider billing errors or fraud
  • Payment processor failures or chargebacks
  • Lost profits, revenue, or business opportunities
  • Data loss or unauthorized access
  • Indirect, incidental, consequential, or punitive damages

BANTO'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE LESSER OF:

  • $1,000, or
  • The fees paid by you to Banto in the 12 months preceding the claim

9.3 Basis of the Bargain

These limitations are fundamental to the agreement between you and Banto. The Services would not be provided without these protections.


10. Indemnification

10.1 Provider Indemnification

Providers agree to indemnify, defend, and hold harmless Banto, its officers, employees, and affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

  • Medical malpractice or negligence
  • Billing disputes or fraud
  • Regulatory violations (HIPAA, state medical boards, FTC, etc.)
  • Patient lawsuits related to care, outcomes, or pricing
  • Breach of these Terms

10.2 Patient Indemnification

Patients agree to indemnify Banto from claims arising from:

  • Fraudulent payment information
  • Misuse of the platform
  • Violation of these Terms

11. Termination and Suspension

11.1 Termination by Banto

Banto may suspend or terminate your access immediately, without notice, if:

  • You violate these Terms
  • Your account poses legal, regulatory, or reputational risk
  • Required by law or Payment Processor
  • Your payment method fails or is disputed

11.2 Effect of Termination

Upon termination:

  • Your access to the Services ends immediately
  • Outstanding payment obligations remain due and payable
  • Providers must retrieve all patient data within 30 days
  • Banto may delete data after the retrieval period

Sections 8–14 survive termination.


12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

12.2 Venue

Any dispute must be brought exclusively in the state or federal courts located in Travis County, Texas.

You waive any objection to jurisdiction or venue in these courts.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding.


13. Miscellaneous

13.1 Entire Agreement

These Terms, together with any BAA or Provider Agreement, constitute the entire agreement between you and Banto.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

13.3 No Waiver

Failure to enforce any provision does not waive Banto's right to enforce it later.

13.4 Assignment

You may not assign these Terms without Banto's written consent. Banto may assign these Terms at any time.

13.5 Force Majeure

Banto is not liable for delays or failures caused by events beyond its reasonable control (e.g., natural disasters, cyberattacks, government actions).


14. Changes to These Terms

Banto may update these Terms at any time by posting a revised version at usebanto.com/terms.

Continued use of the Services after changes constitutes acceptance of the updated Terms.

Material changes will be communicated via email or in-app notification.
